You may not under any circumstances sell the Toolbar or any information or services associated or derived from it. 4.You acknowledge that you are only entitled to use the Toolbar for your own personal and non-commercial use. You may not redistribute, broadcast, retransmit, store or make a compilation of the Toolbar or any intellectual property rights which may subsist in the Toolbar. For the avoidance of doubt, this clause does not prohibit you from using the Toolbar on an internet server; d.not to use the Toolbar for immoral, illegal or for any other purpose which may be determined threatening, abusive or harmful including but not limited to the creation or transmission of any virus, worms, trojan horse, cancel-bot or any other destructive or contaminating program; and e.within 14 days after the date of termination or discontinuance of this Licence for whatever reason, to cease use of all upgrades or copies of the Toolbar. 7.You recognise that the Toolbar may, from time to time, be adversely affected by events outside our control including without limitation, congestion, network coverage, dropped connections and the maintenance of secure network connections. We will make reasonable endeavours to ensure uninterrupted use of the Toolbar. We will however be under no liability to you for any error in, or delay in, or failure in the Toolbar and accept no responsibility if you do not receive the Toolbar for any of these reasons. 8.To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, special, incidental, consequential or exemplary damages arising out of or in any way relating to this agreement or the use or inability to use the Toolbar, including without limitation, damages for loss of goodwill, lost profits, loss of data, computer failure or malfunction, or any and all other commercial damages or losses, even if advised of the possibility thereof. Our entire liability shall not exceed in the aggregate the sum of fees you paid for this Licence (if any). We are not responsible for any liability arising out of content provided by you or a third party that is accessed through the Toolbar and/or any material linked through such content. We do not exclude or restrict liability for death or personal injury resulting from our own negligence nor for losses arising as a result of our own fraudulent activity. Your statutory rights are not affected by the terms of this Licence. 9.The Toolbar is subject to the limitations of the enabling technology on which they are reliant and may be adversely affected by network performance and other operational factors beyond our control. 10.We may make available new versions of the Toolbar ("Upgrades") which may correct any errors and although we have no obligation to notify existing licensees of such upgrades 11.If we believe that there has been a breach of this Licence by you we reserve the right to immediately and without notice withdraw or bar the provision of the Toolbar to you and/or terminate this Licence. If you are notified of such termination, you must comply with the provisions of clause 6(e) above. 12.We reserve the right to change the terms of this Licence at any time in our sole discretion and without prior notice. By continuing to use the Toolbar you will be deemed to have accepted the varied conditions or rates as the case may be. 13.Any personal data you supply to us will only be used and retained by us for the purposes reasonable associated with the provision of the Toolbar to you. Personal data will only be disclosed by us as necessary in connection with the administration of this Licence or where disclosure is required by an applicable regulatory or government body or where we are required by law to disclose this information. Personal data may be used by us in an aggregated form to monitor and evaluate the Toolbar. 14.All copyright, trade marks and other intellectual property rights subsisting in or used in connection with the Toolbar (including but not limited to all images, animations, audio and other identifiable material relating to the Toolbar) are and remain the property of Businessmagnet and its licensors. 15.Severability. The invalidity or unenforceability of one or more of the provisions contained in this Agreement shall not have the effect of rendering any such provision invalid or unenforceable in any other case, circumstance or jurisdiction, or of rendering any other provisions of this Agreement invalid or unenforceable whatsoever. 16.Waiver. Any delay or forbearance by either party in exercising any right or remedy hereunder shall not be deemed a waiver of that right or remedy, or any other right or remedy available at law. 17.This Agreement shall be governed by English law. This Licence shall be deemed "in writing" and "accepted" by both parties.
